Terms of Service

Welcome to AZ5 Leados. These Terms of Service ("Terms") govern your access to and use of the AZ5 Leados website at https://az5leados.com and the AZ5 Leados follow-up automation platform (collectively, the "Services") provided by AZ5, LLC ("AZ5," "we," "us," or "our"), operator of the AZ5 Leados service. By accessing or using the Services, you agree to be bound by these Terms.

1. Eligibility

You must be at least 18 years old and have the legal authority to enter into these Terms with AZ5, LLC. By using the Services, you represent that you meet these requirements and that all information you provide is accurate and current.

You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. Notify AZ5, LLC immediately at support@az5leados.com if you suspect unauthorized use.

4. Customer responsibility for messaging compliance

Important: If you use AZ5 Leados to send text messages, emails, or calls to your contacts, you — not AZ5, LLC — are the sender. You are solely responsible for obtaining valid prior express consent from each recipient before sending, for honoring opt-out requests, and for complying with all applicable laws and carrier rules, including TCPA, A2P 10DLC registration and content requirements, state-specific rules, and any rules imposed by your CRM or list source.

AZ5, LLC provides tools to help you capture, document, and manage consent — including opt-in forms, STOP/HELP handling, audit logs, and quiet-hours enforcement — but use of these tools does not transfer legal responsibility to AZ5, LLC. We may suspend or terminate your account for violations of messaging laws or carrier rules.

5. Subscription, billing, and cancellation

Paid plans are billed monthly or annually in advance. You authorize AZ5, LLC to charge your payment method on a recurring basis until you cancel. You may cancel at any time from your account settings; cancellation takes effect at the end of the current billing period. Fees are non-refundable except as expressly stated.

6. Free trial

If AZ5, LLC offers a free trial, you may use the Services without charge for the trial period. At the end of the trial, your account will convert to a paid plan unless you cancel before the trial ends.

7. Intellectual property

AZ5, LLC and its licensors own all rights, title, and interest in the AZ5 Leados Services, including all software, content, trademarks, and logos. You receive a limited, revocable, non-exclusive, non-transferable license to use the Services as permitted by these Terms.

You retain ownership of the contact data and content you upload or generate using the Services ("Customer Data"). You grant AZ5, LLC a worldwide, non-exclusive, royalty-free license to use Customer Data solely to provide and improve the Services.

8. Third-party integrations

The Services may integrate with third-party services (e.g., CRMs, messaging carriers). Your use of those third-party services is governed by their own terms and privacy policies. AZ5, LLC is not responsible for third-party services or their content.

9. Termination

AZ5, LLC may suspend or terminate your access to the Services at any time, with or without notice, for any reason, including violation of these Terms or applicable law. You may terminate your account at any time. Provisions intended to survive termination will survive.

10. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, AZ5, LLC DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. AZ5, LLC DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

11. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL AZ5, LLC BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES. AZ5, LLC'S TOTAL LIABILITY WILL NOT EXCEED THE AMOUNT YOU PAID TO AZ5, LLC IN THE 12 MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.

12. Indemnification

You agree to indemnify, defend, and hold harmless AZ5, LLC and its officers, directors, members, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to (a) your use of the Services, (b) your violation of these Terms, (c) your violation of any law or rights of a third party, including messaging-compliance claims (e.g., TCPA claims), or (d) Customer Data you upload or messages you send through the Services.

13. Governing law and dispute resolution

These Terms are governed by the laws of the State of FL, without regard to its conflict-of-law principles. Any dispute arising out of or related to these Terms or the Services will be resolved by binding arbitration in St. Petersburg, FL, except that either party may seek injunctive relief in court for intellectual property infringement.

14. Changes to these Terms

AZ5, LLC may update these Terms from time to time. Material changes will be communicated via email or a notice in the Service before they take effect. Your continued use of the Services after changes take effect constitutes acceptance.
